These Terms and Conditions ("Terms") govern access to and use of the ExoPrep platform, including the ExoPrep Portal web application and related services (collectively, the "Service"), provided by ExoPrep ("Company", "we", "our", or "us").

By creating an account, accessing, or using the Service, you ("Customer", "you", or "your") agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

  • You must have legal capacity to enter into a binding agreement.
  • You are responsible for maintaining the confidentiality of account credentials.
  • You agree to provide accurate account and organization information.
  • You are responsible for all activities conducted through your account.

2. Use of the Service

You agree to use the Service only for lawful business and educational administration purposes. You shall not:

  • violate any applicable law or regulation;
  • attempt unauthorized access to systems or data;
  • interfere with platform integrity, security, or performance;
  • upload malicious code or harmful content;
  • misuse payment, student, or personal information.

3. Organization and User Responsibilities

  • Organization admins are responsible for adding/removing team members and managing access permissions.
  • You are responsible for the legality and accuracy of data you upload (including student and payment data).
  • You must obtain all necessary rights and permissions for personal data submitted to the Service.

4. Subscriptions, Billing, and Payments

  • Paid features may require an active subscription plan.
  • Fees, billing cycles, and plan details are displayed during plan selection and checkout.
  • Payment processing may be handled by third-party providers (for example, Razorpay).
  • You authorize us and our payment processors to charge applicable fees.
  • Taxes, if applicable, are your responsibility unless stated otherwise.
  • Subscription cancellations and refunds, if offered, are handled per applicable refund policy or written agreement.

5. Intellectual Property

  • The Service, including software, UI, branding, and content provided by Company, is owned by or licensed to Company and protected by applicable intellectual property laws.
  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription term.
  • You retain rights to your own uploaded content/data, and grant us the rights required to host, process, and display it for service operation.

6. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you agree to such processing.

7. Third-Party Services

The Service may integrate with third-party tools and providers (including authentication and payment services). We are not responsible for third-party services beyond our reasonable control, and their separate terms/policies may apply.

8. Availability and Changes

  • We may modify, suspend, or discontinue parts of the Service to improve security, performance, or functionality.
  • We do not guarantee uninterrupted or error-free availability.
  • We may release updates, fixes, and enhancements at our discretion.

9. Acceptable Security Practices

You agree to implement reasonable administrative, technical, and organizational safeguards for account access, including:

  • strong password policies;
  • controlled user access;
  • prompt revocation of access for departed personnel;
  • safe handling of personal and payment-related records.

10. Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate access for violation of these Terms, legal requirements, or security concerns.
  • Upon termination, rights granted to you under these Terms cease, except provisions that by nature survive.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Company will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data.
  • Company aggregate liability arising out of or related to these Terms will not exceed the fees paid by you to Company for the Service in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Company and its officers, employees, and affiliates from claims, damages, liabilities, and expenses arising from your use of the Service, your data, or your violation of these Terms or applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by laws of the jurisdiction where Company is registered, unless otherwise required by applicable law. Courts in that jurisdiction will have exclusive authority, unless the parties agree otherwise in writing.

15. Changes to Terms

We may update these Terms from time to time. Updated Terms will be effective when posted, unless otherwise stated. Continued use of the Service after updates constitutes acceptance of revised Terms.
